Jennifer A. Josefson

Jennifer helps lead the development of international contracting standards for the energy industry through her work with the Association of International Energy Negotiators (AIEN). She served as AIEN’s president from 2021 to 2022, leading both its name change from the Association of International Petroleum Negotiators (AIPN) to AEIN and the expansion of AIEN’s energy scope. She also previously served on AIEN’s board of directors, was a founding regional director of AIEN’s FSU/CIS Chapter, and was a co-chair of the AIEN 2019 Model Farmout Agreement Revision. As a standing AEIN faculty member for more than 10 years, Jennifer regularly conducts AIEN’s international oil and gas contracting training courses: the Short Course and the Core Course.

A member of the firm’s energy industry team, Jennifer is also active in the Hydrogen Working Group and is a co-leader of the International Energy and Projects Working Group. She is fluent in English and Russian.

• Represented an international service company on its acquisition of an interest in an Abu Dhabi National Oil Company subsidiary
• Represented a Middle Eastern state company on the structuring and negotiation of a Russian oil and gas joint venture
• Represented a UAE private oil and gas company on its joint venture for exploration and development in Africa
• Represented an Indian state oil company on its acquisition of a 50% stake in an upstream oil project
• Represented a state oil company on its evaluation and submission of a bid for upstream acreage in the 2018 ADNOC Bid Round
• Represented an independent oil company with respect to its production sharing agreement (PSA) in South Sudan
• Represented an oil and gas company on its decommissioning obligations
• Represented a large international oilfield service and engineering company on an engineering service joint venture
• Represented a large international oil company on structuring and negotiating its risk-sharing arrangements for the development of mature oilfields
• Represented an international oilfield service company specializing in drilling fluids and solids control/waste management equipment and services on its acquisitions of Russian drilling fluid and solids control companies and its business activities in Russia
• Represented a large Russian oil company operating in Kazakhstan with respect to various joint venture issues including joint and exclusive operations agreements and drilling contracts
• Represented a foreign investor in the potential acquisition of a Turkmenistan PSA
• Represented an independent oil company with respect to its PSAs in Kurdistan
• Represented an independent oil company on three farm-out arrangements in Egypt

Downstream Oil & Gas / Liquefied Natural Gas

• Represented a UAE-based downstream refining and trading company on aspects of its UAE structure
• Represented an energy company with respect to a Russian liquified natural gas (LNG) project, advising on the LNG SPA and feedstock agreements
• Represented Russia’s largest integrated gas processing and petrochemicals company on the sale of a transshipment terminal and related commercial agreements
• Represented a state oil company on the purchase of 100% of shares of a large refinery
• Represented a Chinese oil company with respect to the structuring and due diligence of a potential upstream and LNG joint venture
• Represented the trading segment of a large investment bank on back-to-back crude and product sales agreements

Power and Renewables

• Represented an oil and gas company on the establishment of a gas-to-power joint venture for the construction of a new power unit  
• Represented a Russian power company on its conventional power joint venture
• Represented a Middle Eastern investor on review and structuring of a solar power project

Metals and Mining

• Represented a mining and metals company on its sale and joint venture with a Chinese state–controlled company for a Russian coal development
• Represented a Russian company on a 50/50 quartz mining joint venture 
• Represented an Indian holding company on the acquisition of an abrasive factory
• Represented the trading segment of a large investment bank on back-to-back metals sales agreements
• Represented an international mining equipment company on its contractual arrangements in Russia

• Represented a sovereign investment holding on the sale of shares in a large toll-road project
