Tayne Rankine focuses her practice on the private investment fund industry, including fund formation, separate accounts, secondaries, and co-investments. Tayne has developed a market-leading transactional practice on all types of secondary deals on both the buy- and sell-side. Tayne also provides legal and transactional advice to leading international fund managers on the structuring, formation, and launch of commingled funds and on more bespoke discretionary and nondiscretionary investment management arrangements across a variety of jurisdictions and asset classes (e.g., infrastructure, private equity, funds of funds). She also represents sovereign wealth funds and institutional investors in co-investments and separate account negotiations.
Tayne advises fund sponsors of multibillion-dollar funds and early-stage impact investment managers operating in frontier markets as well as institutional investors such as UK pension plans, funds of funds, and sovereign wealth funds.
In addition, Tayne also represents buyers and sellers engaged in secondary transactions (including single-interest transactions, portfolio sales, restructurings, and stapled secondary deals). She regularly advises secondary funds, institutional investors, pension plans, and other institutions in their capacities as buyers and sellers in many leading secondary transactions.
Tayne has also presented at a number of industry conferences on investment management–related matters, including at conferences sponsored by SME Ventures Forum at the Hague regarding fund governance and conferences sponsored by Morgan Lewis in New York and London.
Prior to joining Morgan Lewis, Tayne was a partner in the corporate team at a leading South African firm. Tayne then joined the corporate and investment funds team of a London-based English firm, where she advised on a mix of secondary transactions, fund formation, and fund restructuring along with mergers and acquisitions (M&A), joint ventures, and corporate reorganizations.
