Partner David Plotinsky shared his thoughts on the US Department of Treasury’s proposed rule on outbound investment with FIW.
In the piece, David discussed one of the differences between the Advance Notice of Proposed Rulemaking and the Notice of Proposed Rulemaking (NPRM): the knowledge standard.
“In assessing how new regulations would impact the process for getting deals done,” he said, “it’s especially important to look at how the NPRM proposes to define the knowledge standard, because that will determine what new types of due diligence companies will need to conduct, as well as new provisions they may need to include in contracts and other deal documents.”
