Eli Gao has nearly two decades of experience advising clients on a wide range of equity and debt securities offerings, mergers and acquisitions (M&A), and other general corporate matters in the United States and Hong Kong. Eli represents issuers and underwriters in public and private offerings, including initial public offerings on the Stock Exchange of Hong Kong Limited with Rule 144A/Regulation S international placements, US initial public offerings, shelf-registered equity and debt offerings, and equity and debt private offerings. He also advises public companies on US regulatory compliance matters. He is fluent in English and Mandarin and conversational in Cantonese. Eli is a Registered Foreign Lawyer in Hong Kong and is admitted to practice in New York.
Eli has experience handling complex M&A transactions for multinational corporations, including de-SPAC transactions in the United States. His principal clients span a number of industries and sectors, including financial services, retail, healthcare technology, education, energy, and manufacturing. Prior to joining Morgan Lewis, he was an of counsel at a global law firm and worked in the Shanghai and New York offices of another large international law firm.
