Partner David Plotinsky spoke with MLex about President Biden’s decision to block Nippon Steel’s proposed acquisition of US Steel, the role of the Committee on Foreign Investment in the United States (CFIUS) in that decision, and the expanding definition of national security when reviewing such transactions.
“CFIUS clears transactions that are way more sensitive than this, and any risk is generally resolved through mitigation. That’s how you maintain an open investment climate and still protect national security,” David said.
He added: “It’s normal and indeed necessary for the scope of national security to change over time. But there still has to be some kind of reasonableness to it.”
