Partners Giovanna Cinelli and David Plotinsky were quoted in The Deal discussing the protracted Committee on Foreign Investment in the United States review of the Japanese acquisition of US Steel, which underscores the need for deal advisers to be aware of the risks that can arise with seemingly benign cross-border transactions.
Giovanna said that the departments of Defense, Energy, Commerce, and State view steel as strategic and critical to US interests.
“Absent the election-related considerations, this [transaction] could have been wrapped up in either 90 days or 120 days,” said David. “I don’t think there’s anything about the mitigation that’s particularly complex,” he said of potential remedies.
