Y. Frank Ren

Frank Ren regularly counsels clients in connection with a variety of antitrust and competition issues, especially in the areas of healthcare and pharmaceuticals. Frank advises clients on merger clearance issues and is an authority in the response process and strategy for second requests and civil investigative demands issued by federal antitrust regulators, as well as requests under state-law “mini-HSR Acts.” Frank represents clients in high-stakes antitrust disputes at every stage of litigation, including dispositive motion practice, fact and expert discovery, class certification, settlement, trial, and appeal. Frank advises clients with respect to managing antitrust risk and promoting effective antitrust compliance practices.

Previously, Frank served as a judicial intern for Judge Juan R. Torruella of the US Court of Appeals for the First Circuit and Judge Joseph L. Tauro of the US District Court for the District of Massachusetts. During law school, he received the Best Brief award in the Edward C. Stone Moot Court Competition and was a semifinalist in the Homer Albers Prize Moot Court Competition. Frank also served as a notes editor of the Boston University Law Review.

  • Obtained antitrust approval for a hospital system’s acquisition of additional hospital assets following compliance with a second request issued by the FTC
  • Obtained antitrust approval for a health insurance company’s acquisition of another health insurance company following compliance with a second request issued by the DOJ
  • Successfully defended a retail pharmacy chain’s non–Hart-Scott-Rodino (HSR)–reportable acquisition of additional pharmacy facilities in connection with a preclosing investigation conducted by the FTC
  • Successfully defended a media publishing company’s non-HSR-reportable joint venture with another media publishing company in connection with a postclosing investigation conducted by the DOJ
  • Obtained a complete defense verdict at trial on behalf of an automobile parts supplier against Sherman Act Section 1 claims of price fixing and bid rigging brought by an automobile manufacturer
  • Obtained on behalf of a leading drone manufacturer a Rule 12(b)(6) dismissal of Sherman Act Section 2 monopolization and predatory pricing claims brought by a competing drone manufacturer
  • Advised numerous healthcare and private equity clients regarding the applicability of state-law “mini-HSR Acts” to proposed transactions
