Impact of the FTC’s New HSR Filing Rules

On October 10, 2024, the US Federal Trade Commission issued the final amendments to the Hart-Scott-Rodino Antitrust Improvements Act (HSR) rules along with a new HSR form and instructions. The rules are expected to go into effect in January 2025.

While the most burdensome changes contemplated by the Proposed Rules in June 2023 were not included, the new rules will require parties to M&A deals to spend considerably more time preparing HSR filings and will raise strategic considerations for deal professionals.
