Oliver Tidey advises public, private, and institutional clients on various corporate and commercial transactions, including public and private mergers and acquisitions (M&A), private equity, joint ventures, venture capital, corporate structuring and restructuring, and general corporate and regulatory matters. Oliver has cross-border experience with matters spanning across the Middle East, the United States, Europe, and Asia Pacific. Prior to joining Morgan Lewis, Oliver completed his training contract in the London and Abu Dhabi offices of a Magic Circle law firm.

Oliver’s general corporate experience, including structuring and restructuring vehicles and corporate formation processes in Abu Dhabi, Dubai, and UAE Free Zones (including in particular the Abu Dhabi Global Market), includes: share issuances and share transfer processes; terminations of agency agreements; shareholder voluntary liquidations; power of attorney and delegation of authority structures; and regulatory considerations, including liaising with the Abu Dhabi Departments of Economic Development, the UAE Ministry of Defense, the UAE Ministry of Interior, the Abu Dhabi Integrated Transport Centre and the UAE Telecommunications and Digital Government Regulatory Authority.

  • Advised Presight AI Holding PLC, an Abu Dhabi-based publicly listed artificial intelligence and big data analytics company, on its acquisition of a controlling stake in AIQ from G42, valuing AIQ at $1.4 billion
  • Advised Bechtel Global Corporation, a US engineering, procurement, construction, and project management company, on its joint venture with Unger Steel, through which the parties own a UAE-based steel fabrication facility that will supply fabricated steel to Bechtel projects globally
  • Advised TVM Capital Healthcare, a healthcare expansion and growth capital investment firm, on its investment in Munich-based neurocare group AG and its expansion into the Kingdom of Saudi Arabia
  • Advising an Asia-centric private equity firm in several ongoing Series A investments
  • Advising various clients in relation to confidential M&A and joint venture mandates
