Iain Wright
Iain Wright has almost 30 years of experience providing tailored, often innovative, advice to clients on mergers and acquisitions (M&A) and securities transactions ranging in size from a few million dollars to tens of billions of dollars. Iain has a diverse practice, advising clients on all manner of M&A transactions (including public offers), joint ventures, and investments, often with a significant cross-border or international element, as well as advising on securities offerings, securities laws, and governance issues in the United Kingdom.
Iain’s transactional experience spans an extensive range of sectors, including technology, financial services, life sciences, telecommunications infrastructure, natural resources, automotive, and manufacturing. The breadth of Iain’s experience enables him to identify solutions for clients by leveraging his experience across market sectors, transactions, and geographies.
Prior to joining Morgan Lewis, Iain was a partner in the corporate practice of another international law firm in London. He previously served as a member of the Law Society Company Law Sub-Committee.
- Represented Far Point Acquisition Corp in connection with its acquisition of Global Blue, a payment services company for international shopping
- Represented General Motors in its investments in Wejo, a leader in connected automotive data based in the United Kingdom
- Represented Connect Airways in its acquisition of Flybe Group, a UK airline, including by means of a takeover offer under the UK Takeover Code
- Represented Pantheon International PLC in the restructuring of its share capital into a single class of listed shares
- Represented Bullhorn in a number of acquisitions in the United Kingdom, including Sirenum, cube19, and Sourcebreaker, among numerous other corporate matters
- Represented International Petroleum Holding in connection with the acquisition of a significant interest in Equus Petroleum Plc, which controls a large Kazakhstan oil deposit
- Represented a private holding company for logistics and freight forwarding in its acquisition of a 30.75% interest in an operator of container terminals
- Represented Chagala Group in connection with its defense of a hostile attempt to obtain control of the company and a subsequent agreed takeover offer
- Represented Sandvik in the sale of its Varel International Energy Services business, a provider of drilling and downhole solutions to the oil and gas, mining, and industrial markets, to Blue Water Energy
- Advised a UK-listed gold mining and exploration company in connection with a restructuring program to repay overdue loans
- Represented QxBranch, a quantum computing and data analytics software startup, in connection with its sale to Rigetti Computing
