Brandon Figg focuses his practice on counseling clients to address and overcome challenges arising in the issuance of both public and private asset-backed securities (ABS) as well as the structuring of complex asset-backed lending, repurchase agreement and derivative transactions.
Brandon previously served in a variety of roles in the Division of Corporation Finance at the US Securities and Exchange Commission (SEC), including most recently as senior special counsel in the Office of the Director. He also worked as special counsel in the Office of Structured Finance where he was a rule writer and provided structured finance industry expertise to teams across the SEC. Beyond his government experience, Brandon is well versed in representing arrangers, lenders, asset managers, and investors in a broad variety of transactions, including collateralized loan obligations, collateralized fund obligations, cross-border repurchase agreements, total return swaps, interest rate swaps, land-bank financing transactions, receivables facilities and other structured financings.
In his prior role at the SEC, Brandon led engagement with industry following the proposal of the ABS conflicts of interest rule and also provided expert advice on other significant rulemakings such as the private fund adviser rule. As a strategic adviser to the director of the Division of Corporation Finance, Brandon focused on compliance of companies with legal obligations in their public disclosures and trading activities. Prior to joining the SEC, Brandon was a structured finance lawyer at another global law firm.
