Peter Coulson advises public and private clients on complex executive compensation and employee benefits matters related to mergers, acquisitions, dispositions, initial public offerings, minority investments and other corporate transactions. Peter also provides advice on an ongoing basis to public companies, private equity and venture capital clients, start-up companies, and management teams on tax, legal and regulatory compliance considerations related to compensation and benefits. His practice includes designing, negotiating, and drafting employment, severance, incentive, retention, change-in-control, deferred compensation, and equity plans and agreements.
In the context of corporate transactions, Peter addresses issues relating to the treatment of outstanding equity awards, "golden parachute" excise tax issues, employee benefits transition implications, and post-closing employment and equity arrangements with senior executives.
Peter also regularly counsels boards of directors and their compensation committees regarding corporate governance and executive compensation matters. He works closely with public companies to prepare executive compensation disclosures for annual proxy statements, initial public offerings, merger proxies and other public filings.
Prior to joining Morgan Lewis, Peter was an associate in the executive compensation and employee benefits practice group of a New York-based international law firm for over seven years.
