Christopher Rose has a diverse transactional practice, regularly representing global public and privately held companies in a variety of matters. Chris’s practice focuses on mergers and acquisitions (M&A), initial public offerings (IPOs), investments, joint ventures, and venture capital and private equity investments. He also advises on public filings under federal securities laws; compliance with Sarbanes-Oxley, New York Stock Exchange (NYSE), and NASDAQ requirements; and further corporate governance matters. Additionally, Chris represents boards, investors, and their portfolio companies, and helps investors and issuer companies successfully navigate complex legal and business challenges. Chris has a specific focus on the technology and automotive industries.
Most recently, Chris has advised on multiple mergers and acquisitions, corporate venture capital (CVC) investments, emerging company venture capital issuances, and the sale and purchase of private equity portfolio companies.
Before joining Morgan Lewis, Chris was a partner in the emerging company and venture capital practice of another global law firm, and before that was a corporate partner at an international law firm, focusing his practice on mergers and acquisitions, CVC investments, and related corporate finance transactions.
Chris’s private practice is complemented by his prior in-house experience as associate general counsel at Fidelity National Financial. At Fidelity, Chris led the legal function on dozens of the company's acquisitions, including those of Certegy, Sanchez Computer Associates, WebTone Technologies, Bankware, Computerized Data Systems, and InterCept, among others.
Chris also previously worked as general counsel and senior vice president of corporate development at CODA Holdings, a maker of electric vehicles, where he led the company’s fundraising efforts; negotiated agreements to partner with China's Great Wall Motor Company, Lishen, and Harbin Hafei to develop electric batteries and electric vehicles; and led the acquisition of EnergyCS.
