Christopher J. Dlutowski has represented investors, managers, and other market participants in a wide array of investment matters for over 25 years. Christopher represents institutional investors—including public and private pension plans, family offices, sovereign wealth funds, university endowments, foundations, and funds of funds—in their investments in private equity, venture capital, private credit, real estate, infrastructure, secondary, continuation, hedge, hybrid, and other private funds, funds of funds, managed accounts, co-investments, and direct investments, with a special focus on customized investment products, including funds of one, captive funds, and strategic partnerships, in all asset classes. Christopher also advises institutional investors governance, compliance, risk, and dispute resolution issues.
Christopher also counsels investment managers and sponsors of a wide array of private investment funds—including US domestic and offshore private equity funds, venture capital funds, real estate funds, hedge funds, and funds of funds—on the structuring, formation, capital raising, investment activities, registration, and other regulatory issues, and ongoing operations of funds.
Christopher has led presentations on private investment trends and terms, governance and regulatory issues, and other investment topics at numerous investment management conferences, seminars, webinars, and training programs as well as client meetings. Prior to rejoining Morgan Lewis, Christopher was vice president and corporate counsel at Prudential Financial Inc., where he advised investment management clients on their hedge funds and other alternative investment products, US and foreign institutional investor managed accounts, investment activities (including securities, derivatives, lending, and financing transactions), fundraising and marketing efforts, valuation issues, domestic and foreign registrations, and other regulatory issues.
Christopher is the chair of the firm’s Institutional Investors Working Group, a co-leader of the firm’s education industry team, a member of the firm’s family office initiative and a member of the New York office’s recruiting committee.
