Dual-qualified in the United States and England and Wales, Carter handles a broad range of securities matters, including offerings of investment grade and sub-investment grade corporate bonds, sovereign bonds, convertible bonds and high-yield notes, MTN programs, initial public offerings (IPOs) and other equity offerings, restructurings of outstanding debt securities, and advice to clients on securities law disclosure and compliance requirements.
Carter’s transactions include Rule 144A and Regulation S offerings, US SEC–registered offerings, traditional private placements and various other transactions involving debt and equity securities. He has considerable experience with listings of securities on the London Stock Exchange and European stock exchanges.
Carter advises on transactions from a range of industries including banking, energy and natural resources, real estate, telecommunications, high-tech, and food and agriculture. Carter is a leading legal adviser on sovereign bond transactions.
Carter has advised on several landmark transactions in the emerging markets, including the first ever international securities offering from each of Albania, Belarus, Georgia, Laos, Suriname, and Tajikistan, and also the first ever international securities offering by a Ukrainian company.
