Stephen C. Tirrell represents emerging and well-established private investment funds and investment advisers worldwide in the formation and structure of hedge funds, hybrid funds, venture funds, and private equity funds, including equity, arbitrage, distressed, technology, global macro, funds of one, funds of funds, first-loss funds, real estate funds, and infrastructure funds. Steve leverages a unique combination of business acumen and more than 20 years of technical knowledge of private funds to provide legal advice, including on fund structure, securities laws, jurisdictional planning, and fund strategy, to clients in the private fund industry.
Steve also advises fund managers and institutional investors on separate account agreements, seed capital arrangements, secondary transactions, fund investments, compensation arrangements among partners and employees, complex fund restructurings (e.g., GP-led restructurings), co-investments, and compliance with the Investment Advisers Act of 1940 and other relevant US securities laws.
In addition to his private fund practice, Steve provides sophisticated guidance and tailored solutions to banks, broker-dealers, placement agents, venture operating partners, and private fund managers with respect to issues involving capital raising, joint venture arrangements, derivatives products, and new product development.
Steve is a co-leader of the firm’s global private investment funds practice and co-chair of the Digital Assets Working Group, a subgroup of the firm’s fintech industry team.
