Naina G. Kamath advises clients on a range of employee benefits and executive compensation matters in connection with domestic and cross-border corporate transactions for both large and mid-market companies and private equity funds. She also assists companies seeking to implement equity and equity-based compensation plans. In addition, Naina assists clients with navigating the fiduciary responsibility provisions and prohibited transaction rules under the Employee Retirement Income Security Act (ERISA) and the Internal Revenue Code.
Naina advises companies and private equity funds on all employee benefits and executive compensation matters that arise in buy-side and sell-side stock and asset-based corporate transactions. She regularly drafts employment agreements, transaction-based awards, and severance arrangements, and assists clients with any issues that may arise under Sections 280G and 409A of the Internal Revenue Code. Naina routinely remains involved with acquired entities by designing equity incentive plans and assisting in the process of transitioning benefit plans to the acquired entities.
Naina’s practice with respect to fiduciary responsibility and prohibited transaction rules generally involves advising banks, investment managers, and other clients in the treatment of benefit plan investors in securitizations and structured finance transactions. Naina also has experience with qualified plan administration and compliance and has represented clients before the Internal Revenue Service.
