John M. Rosenthal advises clients in structured, project, corporate, and public finance debt matters. He also counsels banks on institutional risk management (including operational, regulatory, and litigation risk) and restructurings. Working with issuers, lenders, borrowers, indenture trustees, and other participants, John structures, negotiates, and documents complex financing transactions and workouts/restructurings of such transactions. These include secured transactions, asset-backed financings, securitized receivables financing, syndicated lending, credit enhancement, and public finance.
With a background in complex financial instruments, John also coordinates with litigators to resolve risk management and restructuring matters. Many of his recent engagements have arisen out of the subprime debt crisis and related areas, and he is increasingly involved in the restructuring of complex structured and debt instruments and of parties to such transactions.
Before joining Morgan Lewis, John was a partner in the financial services group of one of the largest law firms in the United States. He was a member of the firm’s management committee, served as managing partner of the firm’s San Francisco office, and was a former co-chair of the firm’s business and finance practice group.
John is fluent in Mandarin.
