Richard M. Lee

Before joining Morgan Lewis, Richard worked as an economic consultant at CRA International, where he contributed analyses to expert reports in antitrust litigation and in the review of proposed mergers before the US Department of Justice (DOJ), US Federal Trade Commission (FTC), and European Commission.

Richard received his J.D. from Duke University School of Law, where he received the Dean's Award in Securities Regulation, and served as the chief executive editor of the Duke Law and Technology Review.

• Advised a Fortune 500 technology company in a number of acquisitions, including the purchase of the mobile chipset business of a global telecommunications company, the acquisition of a drone manufacturer, and the acquisition of an integrated circuit design company.
• Advised SandboxAQ, an AI and quantum computing software company spun off from Alphabet, in its acquisition of Cryptosense, a cybersecurity and encryption analysis software provider.
• Advised Viber Media Ltd., a mobile messaging and VoIP company, in its $900 million acquisition by Rakuten.
• Advised SuperDerivatives, Inc., a provider of risk management analytics and financial markets data services, in its $350 million acquisition by Intercontinental Exchange.
• Advised Prometric Inc., an educational services provider, in its $1 billion sale by Education Testing Service to Baring Private Equity Asia.
• Advised Clarizen Ltd., a portfolio management software provider, in its $110 million management buyout sale to K1 Capital.
• Advised HCT Group, a leading designer and manufacturer of cosmetics products, in its acquisition by KDC/ONE, a global supplier of cosmetics and personal care products.
• Advised Voltage Security, Inc., an encryption and tokenization technology provider, in its acquisition by Hewlett-Packard Company.
• Advised Kofu Hong Kong Holdings, a joint venture between Shenzhen Yitoa Intelligent Controls (YITOA) and G Tech Systems Group (GTSGI), in its acquisition of Pioneer MTC Technology, a subsidiary of Pioneer Corporation.

• Advised Loon in its $125 million financing transaction and option for reciprocal investment with HAPSMobile, majority-owned by Softbank.
• Advised Third Point in the preferred equity financing and the subsequent IPO of a clinical-stage biotechnology company.
• Advised sovereign wealth fund clients in a number of U.S. unicorn investments.
• Advised Premise Data Corporation in its $85 million Series E financing.

• Advised a Fortune 500 technology company in a strategic collaboration with a manufacturer of high-speed data converter systems.
