Adam partners with clients to anticipate risk, navigate complexity, and align legal strategy with long-term business objectives while leveraging practical judgment and efficient execution.

As a trusted advisor, he builds value-driven relationships with executive teams, founders, sponsors, and boards of directors while providing counsel on day-to-day legal, operational, and strategic matters. Within healthcare, he advises clients navigating evolving regulatory frameworks, consolidation trends, value-based care initiatives, digital health innovation, behavioral health expansion, pharmaceutical and life sciences investment, and the growing intersection of healthcare and technology. Adam regularly counsels private equity sponsors and operators on platform acquisitions, add-on transactions, joint ventures, and governance matters across provider services, pharma services, and healthcare technology. His experience ranges from transactions valued at several hundred thousand dollars to multi-billion-dollar deals.

In addition to his private equity and strategic M&A practice, Adam advises investors and companies on investments, financing matters, restructurings, and corporate governance. He collaborates closely with founders and management teams as they scale their businesses, often serving as outside general counsel.

Through his leadership of executive teams within portfolio companies and emerging businesses, Adam has developed deep experience in high-stakes problem solving and proactive issue-spotting, negotiating and drafting complex purchase and sale agreements, structuring and negotiating sophisticated governance arrangements, managing transaction processes involving multiple stakeholders, regulators, and financing sources, and advising boards and management teams on strategic growth, compliance, and the life cycle of their businesses.
