Andrea Dougall’s practice primarily focuses on representing investors on their global fund investments. Her clients include a number of significant sovereign wealth funds, pension funds, and other global institutional investors, whom she advises on investments in open- and closed-ended funds, separate managed account arrangements, co-investments, joint venture arrangements, and other bespoke investment structures and platforms across asset classes. Andrea is admitted to practice in England & Wales.

Extended Profile

Specifically, Andrea has experience in drafting and negotiating the terms of limited partnership agreements, subscription agreements, management and advisory agreements, and side letters for clients investing into leveraged buyout, real estate, energy, infrastructure, venture capital, special opportunity, credit, distressed debt, special opportunity, and hedge funds.

Andrea also provides ongoing advice in connection with investments, including transfers of interest, most-favored-nations processes, and additional equity commitments. Andrea has worked opposite a large number of major fund managers and has assisted her clients to deploy billions of capital into private investment funds.

Furthermore, Andrea provides advice in connection with digital assets and the various regulatory frameworks in the United Arab Emirates, and has authored articles, contributed to reference guides and books, and presented on webinars and panel discussions with respect to the same.

In addition, Andrea undertakes work for a range of pro bono clients, including the International Senior Lawyers Project and an orphanage in Ethiopia.

Andrea has practiced law in London and the United Arab Emirates. Andrea has been based in the Middle East since 2014.

Represents multiple Gulf Cooperation Council (GCC) and other sovereign wealth funds on the investment of billions of US dollars, including into private funds across asset classes, co-investments, and funds of one, including specifically:
- Represented an Abu Dhabi–based sovereign wealth fund with respect to its approximately $100 billion (cash and in-kind) commitment to a third-party investment manager
- Advised a Saudi-based sovereign wealth fund in connection with a $1 billion anchor investment in a global infrastructure fund
- Advised a Saudi-based sovereign wealth fund in connection with a $750 million investment in an “all-seasons” private fund focusing on credit and structured equity investments
- Advised a pension fund in connection with its $150 million investment in a tier-one managed real estate fund
- Advised a Saudi-based sovereign wealth fund in connection with a $200 million co-investment in a senior secured loan facility to a national airline
- Advised an Abu-Dhabi–based sovereign wealth fund in connection with its acquisition of an interest in a tier-one investment manager
- Advised an Abu-Dhabi–based sovereign wealth fund in connection with multiple venture capital investments across the globe
- Advised an Abu-Dhabi–based sovereign wealth fund on a bespoke fund-of-fund with a tier-one investment manager
- Advised a Kazakhstan-based endowment fund in connection with its $25 million investment into an Abu Dhabi Global Market (ADGM) domiciled fund
- Advised an Abu-Dhabi–based sovereign wealth fund on the establishment of a single-investor side-car vehicle
- Advised a Saudi-based sovereign wealth fund in connection with its $300 million investment in a co-investment in a US information technology products and services company
- Advised an Oman-based sovereign wealth fund in connection with multiple investments across the globe and across different asset classes
- Advised a Saudi-based sovereign wealth fund in connection with its $120 million investment in a co-investment alongside a tier-one investment manager in a UK-based water solutions company
- Advised an Azerbaijan-based sovereign wealth fund in connection with its $300 million investment in a real estate fund
- Advised a Saudi-based sovereign wealth fund in connection with its $300 million investment in an English limited partnership investing in energy-related businesses located in emerging markets
- Advised a state-owned investment fund of the Chinese government in connection with its participation in a consortium in relation to the acquisition of a 49% interest in a gas pipeline company for $15.5 billion; the deal denotes a total equity value of approximately $31.6 billion for the company, and the transaction is one of the largest global energy infrastructure deals
- Advised a Saudi-based sovereign wealth fund in connection with its $400 million investment in a co-investment alongside a tier-one investment manager in a US enterprise security company
- Advised a Kuwaiti bank in respect of multiple Shari’a-compliant investments into private investment funds
- Advised a pension fund in connection with its $50 million investment in a co-investment alongside a tier-one investment manager in a US healthcare company for a total transaction size of $34 billion
- Advising a pension fund in connection with the negotiation of a global custodian agreement
