Morgan Lewis Advises Copper Manufacturer KME on German Federal Cartel Office Unconditional Phase 2 Approval of Sundwiger Messingwerk Acquisition

FRANKFURT and MUNICH, December 20, 2024: Morgan Lewis represented KME SE through the Federal Cartel Office clearance of its share purchase agreement of 100% of the shares of Blackhawk Holding GmbH, a German managing holding company owning 100% of Sundwiger Messingwerk GmbH. The share purchase agreement, on which Morgan Lewis also represented KME, included as a condition a merger control filing at the German Federal Cartel Office. Following the Federal Cartel Office’s in-depth investigation it issued a phase 2 clearance decision without any conditions and obligations. The transaction is expected to close in the first quarter of 2025.

KME is one of the world’s largest manufacturers of copper and copper alloy products, while Sundwiger Messingwerk is a European manufacturer of bronze semifinished rolled products and producer of brass semifinished rolled products. Morgan Lewis previously advised KME on its de-SPAC agreement for Cunova’s special product business.
