Gilles Saint Marc advises corporates, asset managers, and investors across a wide range of alternative financing, offering a global and integrated vision on regulatory, tax, and transactional matters. Gilles is one of the pioneers of French securitization since 1988 with a focus on Pan-European trade receivables, mortgage-backed securities, and synthetic and EU securitization regulations. Gilles also advises on the structuring, formation, fundraising, and investment of French and Luxembourg funds across a wide range of asset classes, including private debt, private equity, infrastructure, funds of funds, continuation funds, and secondaries (GP-led or LP-led). He also advises more than 20 fintech companies. Gilles speaks French and English and is fluent in German.
Gilles actively participated with the French Treasury and the Autorité des marchés financiers (AMF) in drafting various legislation creating a new French alternative investment vehicle (Organisme de financement spécialisé), modernizing the French securitization framework, and adapting the landscape of all French alternative investment funds from 2017–2024.
Gilles is the associate author on the first book on French legal securitisation (1988); the author of the AFG Practical Guide on the Specialised Financing Vehicles (Organismes de financement spécialisé) in June 2020; the author of the AFG Practical Guide on ELTIF 2.0 (EU Regulation on long-term investment fund) in October 2024;and the coordinator of the AFG Q&A on ELTIF 2.0 (EU Regulation on long-term investment fund) in December 2024.
