Our Corporate Finance Practice is experienced in all aspects of raising capital, ranging from the issuance and sale of conventional debt and equity securities to very specialized asset-based financings.

Public Offerings
Our lawyers are regularly engaged in public offerings on behalf of both issuers and underwriters. We are experienced with companies making their initial public offerings as well as with offerings of debt and equity securities by seasoned public issuers. We have been involved with companies in a wide variety of industries, with both domestic and foreign issuers and with offerings both within the United States as well as overseas.

Our practice also encompasses the representation of issuers and underwriters in the sale of more specialized securities, such as limited partnership interests, mortgage-related securities and other collateralized securities, such as notes backed by automobile retail installment contracts and credit card and other receivables.

In registered offerings, the number of lawyers in the firm who have held senior positions at the Securities and Exchange Commission (SEC) is invaluable both in anticipating potential issues and in resolving any problems which may arise with the SEC staff.

Private Placements
Our lawyers routinely represent issuers and selling agents in connection with private placements of debt and equity securities. These representations include both direct placements with insurance companies, banks and other institutional investors as well as Rule 144A and Regulation S offerings and the ensuing exchange offers.
