Morgan Lewis Advises Health Net, Inc. in $6.8 Billion Sale to
Centene Corporation

Morgan Lewis represented Health Net, Inc. in its agreement with Centene Corporation under which Centene will acquire all of the shares of Health Net in a cash and stock transaction valued at approximately $6.8 billion, including the assumption of approximately $500 million of debt. The transaction was announced July 2, 2015 and is expected to close by early 2016. The combination of Centene and Health Net would create a leading diversified multinational healthcare enterprise with more than ten million members across the country and estimated 2015 pro forma premium and service revenues of approximately $37 billion. Firm Chair Jami McKeon participated on a panel,"Innovation: New Models for Differentiation," at the Bloomberg BNA Big Law Business Summit in Manhattan yesterday. Jami discussed different ways our firm is innovative, including partnering with clients on initiatives like Chase Honors, as well as partnering with clients like Exelon in pro bono initiatives. She also mentioned that culture was of utmost importance to a firm's survival in today's legal market. Jami was among a number of distinguished panelists participating in the standing room-only summit.
